Halma acquires Visiometrics for up to £91.2m

Halma has acquired Visiometrics, an objective refraction specialist from from private shareholders and Atlas Capital for up to £91.2m.

Visiometrics  designs and manufactures instruments  used to measure objective visual acuity, it also claims to detect very early stages of cataract. Halma has bought Visiometrics, S.L., based outside Barcelona, Spain and Visual Performance Diagnostics, Inc., located in Aliso Viejo, California which together are referred to as Visiometrics.

The deal is split into three elements. An initial €18m (£13.1m) will be paid at closing while deferred contingent payments up to €69m (£50.4m) will be paid based on the profit performance of Visiometrics over the next three years; and deferred contingent consideration up to €40m (£29.2m) will be paid in royalties over the next five years with a maximum total consideration of €125m (£91.2m).
